Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, services, and software products operated by Biovit Group Kereskedelmi és Szolgáltató Korlátolt Felelősségű Társaság (company registration number: 01-09-875491; registered office: 1162 Budapest, János utca 18., Hungary; “Biovit Group“, “we“, “us“, or “our“), including the brand portfolio sites and partner-facing tools we publish.

By accessing or using any service we provide, you agree to be bound by these Terms. If you do not agree, please do not access or use the services.

1. About Biovit Group

Biovit Group is a Hungarian technology systems company that designs, builds, and operates a portfolio of automated digital products and brand assets. Our work covers premium domain marketplaces, content syndication tooling, and other software systems that support our portfolio companies and partners.

2. Definitions

  • “Services” means the websites, applications, integrations, and software tools made available by Biovit Group, including our brand portfolio websites and partner-facing content-management software.
  • “User” means any individual or entity accessing the Services.
  • “Authorized Partner” means a portfolio company, sub-brand, or third-party business that has been granted access to use our partner-facing tools through an active agreement.
  • “Content” means any text, video, image, or other material made available through the Services.
  • “Biovit Group Cross-Poster” means our internal content management and syndication application that enables Authorized Partners to publish, schedule, and distribute video and other content from our brand portfolio across third-party social platforms (including Meta Platforms, TikTok, Pinterest, X, and YouTube).

3. Description of Services

The Services include, without limitation:

  • Public-facing brand websites operated by Biovit Group and its portfolio companies (including biovitgroup.com and its sub-brand sites).
  • Biovit Group Cross-Poster — our content management and syndication application that allows Authorized Partners to publish, schedule, and distribute video and other content across third-party social platforms.
  • Documentation, support resources, and related digital materials.

The exact functionality available to a given User depends on their role (general public visitor or Authorized Partner) and any additional written agreement in place.

4. Eligibility

You may use the public-facing Services only if you have the legal capacity to enter into a binding contract under the laws of your jurisdiction. Access to partner-facing tools is restricted to Authorized Partners and the natural persons they designate.

5. User Accounts and Responsibilities

If you are granted credentials or an authentication token to access any non-public part of the Services, you agree to:

  • Keep your credentials confidential and not share them with unauthorized persons.
  • Notify us promptly at hello@biovitgroup.com if you suspect unauthorized access to your account.
  • Be responsible for all activity that occurs under your credentials.
  • Comply with all applicable laws and platform-specific terms (including those of any third-party social network you connect through our tools).

6. Acceptable Use

You agree not to use the Services to:

  • Violate any law, regulation, or third-party right.
  • Publish or distribute content that is unlawful, defamatory, harassing, obscene, deceptive, or that infringes intellectual property rights.
  • Attempt to interfere with the integrity, security, or performance of the Services.
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Services, except to the extent that applicable law expressly permits.
  • Use automated means to access the Services in a manner that violates the rate limits or terms of any integrated third-party platform.

7. Third-Party Services and Platforms

Biovit Group Cross-Poster integrates with third-party social networks and online platforms, including (without limitation) Meta Platforms (Facebook, Instagram, Threads), TikTok, Pinterest, X (Twitter), LinkedIn, and YouTube. Your use of those platforms through our tools is subject to each platform’s own terms of service and developer policies. You are responsible for ensuring that your activity on those platforms complies with their rules. Biovit Group is not responsible for the availability, behavior, or actions of any third-party platform.

8. Intellectual Property Rights

All intellectual property rights in and to the Services, including the source code, design, branding, and original content published by Biovit Group, remain the sole property of Biovit Group or its licensors. Authorized Partners retain ownership of the Content they publish through our tools, and grant Biovit Group a limited, non-exclusive, royalty-free license to process, store, and transmit that Content as necessary to provide the Services.

9. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable Hungarian data protection law.

10. Disclaimers

The Services are provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Biovit Group, its officers, directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services. Our aggregate liability for any direct damages arising under these Terms shall not exceed the greater of (a) the fees paid by you to Biovit Group in the twelve months preceding the event giving rise to the claim, or (b) one hundred Euros (EUR 100).

Nothing in these Terms limits any liability that cannot be limited under Hungarian or EU law, including liability for gross negligence, willful misconduct, or personal injury.

12. Indemnification

You agree to indemnify and hold Biovit Group harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third party’s rights, including third-party platform terms of service.

13. Modifications to the Services

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

14. Termination

We may suspend or terminate your access to the Services at any time, including for violation of these Terms, suspected fraud, or to protect the security of the Services. You may stop using the Services at any time. Sections that by their nature are intended to survive termination (including Sections 8, 10, 11, 12, and 15) will survive.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Hungary, without regard to its conflict of laws provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Budapest, Hungary, except where mandatory consumer-protection law provides otherwise.

16. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted at https://biovitgroup.com/terms/. Material changes will be indicated by updating the “Effective date” at the top of these Terms and, where appropriate, by direct notice to Authorized Partners. Your continued use of the Services after the effective date of a revision constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any separate written agreement between you and Biovit Group, constitute the entire agreement between us regarding the Services and supersede all prior or contemporaneous communications and proposals.
